John C. (Clint) Callan, Jr. advises clients on real estate transactions and land use matters for commercial, residential, retail and industrial projects. He focuses on land acquisition, disposition and development, along with the purchase, sale, finance and exchange of investment properties.
In addition, Mr. Callan represents clients in matters related to commercial, office, retail and ground lease developments. His scope of services include representing educational institutions and nonprofits in their real estate concerns; and leasing, title and loan review for shopping centers in California and Nevada. Mr. Callan has represented clients in the purchase and sale of farmland, vineyards and wineries, and has counseled ranchland owners concerning easement and boundary disputes.
He also provides advice on loan workouts involving distressed real estate assets; San Francisco Bay Area land use matters; entitling and selling transferable development rights; easement, boundary and encroachment disputes; pre-construction matters involving contracts; and shoring and excavation issues.
Mr. Callan is a 1982 graduate of the University of San Francisco School of Law and a 1978 graduate of the University of California, Berkeley.

Representative Matters
Represented University in its acquisition of organic farm and related facilities and in buying a research, development and office complex to expand campus operations; also resolved lease disputes for University-leased properties.
Provided services to University as outside counsel to the Board of Trustees on governance matters.
Represented University in transactional aspects of development of 650-unit student housing complex; handled negotiation of financing and owner-developer models for project including ground lease proposals, development agreements, and construction and management agreements; developed protocols for environmental compliance and remediation provided advice and input on collateral agreements.
Represented religious non-profit corporation in sale of its primary residential and office buildings, and assisted in documentation and review of relocation to residential care facilities.
Prepared, coordinated and implemented strategy for negotiation and sale of conference and retreat facility (>60 acres) in Los Gatos, CA; matter involved multiparty negotiations with the buyer; local planning, health, water, sewer, and tax agencies and departments; and insurance company for post-closing obligations including slide repairs and waterline easement disputes.
Represented buyer of two prominent San Francisco waterfront restaurant ground leases including entity formation and environmental due diligence.
Represented investment fund in purchase and/or sale of five San Francisco office buildings and two office buildings in Oakland.
Represented San Francisco university in the purchase of a historic office and classroom complex South of Market Street, San Francisco.
Represented developers of three mixed use (multifamily condominium and retail) projects in the Hayes Valley and Market/Octavia Corridor, San Francisco. Transactions included negotiation of all construction contracts, excavation and tieback agreements, resolution of easement disputes.
Represented developer of a three-tower, 350-unit multifamily and retail project in Mission District, San Francisco. Project includes environmental review, affordability components, negotiation of construction contracts, excavation and tieback agreements, and related issues.
Represented seller in transactions for more than 400,000 units of transferable development rights (TDRs) in San Francisco, including applications to amend the Zoning Map and Planning Code, entitling the TDRs, and handling the purchase/sale transactions.
Represented San Francisco homeowners in successfully enjoining the improper excavation of and construction on the adjoining hillside in violation of permits and Slope Advisory Commission protocol. Representation included numerous appearances at Board of Appeals and the imposition of an interim emergency stabilization and shoring plan to stabilize the hillside pending resolution of construction issues.
Represented seller of landmark bar and office building in Healdsburg, California.
Represented seller of winery and assets in Calaveras County, California.
Represented landlords and tenants in the negotiation of office leasing in San Francisco's Financial District and South of Market properties.
Represented property owners in Santa Clara County concerning enforcement of water and easement rights.
Represented ground lessor on several development projects including mixed use multifamily condominium project in Colma and development of facilities for a private high school in San Francisco.
Represented property owners in condemnation cases and easement disputes in Santa Rosa, Colma, San Jose, and City of Industry including successful negotiation of compensation packages and favorable easement provisions.
