Brandon Harper has experience litigating matters in both the state and federal courts in Delaware with a particular focus on corporate and commercial litigation in the Delaware Court of Chancery.

Prior to joining Duane Morris, Brandon was an associate at a prominent Delaware law firm, where he practiced corporate and commercial litigation. Brandon is a 2017 cum laude graduate of Widener University Law School, Delaware, where he was External Managing Editor of the Delaware Journal of Corporate Law, and a graduate of the University of Delaware.

Representative Matters

  • Represented a biotechnology company in post-closing earnout dispute in the Delaware Court of Chancery related to merger with a competitor, which resulted in favorable settlement.

  • Represented petitioner in 8 Del. C. § 226 case seeking to appoint a custodian to break a deadlock related to board vote.

  • Represented special litigation committee in its investigation into and evaluation of derivative claims for breach of fiduciary duty.

  • Represented individual defendant in breach of fiduciary duty case in the Delaware Court of Chancery related to alleged self-dealing transactions designed to transfer the Delaware company’s voting power away from shareholders.

  • Represented corporate director and CEO of a military communications company in in 8 Del. C. § 225 control dispute that led to favorable settlement and dismissal.

  • Achieved a complete victory in a Delaware Court of Chancery action seeking inspection of books and records under 6 Del. C. § 18-305.

  • Obtained complete dismissal of breach of contract claims related to equity agreements against client in the Delaware Superior Court Complex Commercial Litigation Division.

  • Obtained a temporary restraining order on behalf of an intermodal transportation company in a suit against its former executive for breach of non-competition, non-solicitation, and confidentiality covenants.

  • After aggressively pursuing claims for breach of non-competition, non-solicitation, and confidentiality covenants, obtained a favorable settlement in favor of intermodal transportation company against a former executive who left to work for a competitor.

  • After aggressively pursuing claims for tortious interference, obtained a favorable settlement in favor of intermodal transportation company against a competitor.

  • Successfully defended a former employee from claims for breach of a restrictive covenant agreement brought by his former employer and obtained a favorable settlement and dismissal.

  • Aggressively pursued claims for unfair competition, tortious interference, violation of the Uniform Deceptive Trade Practices Act, and others related to breach of non-competition and non-solicitation covenants and successfully obtained favorable settlement for client.

  • Successfully defended clients in complex business dispute involving allegations of breach of restrictive covenants and trade secret misappropriation related to the sale of a company in the non-profit space.

  • Obtained summary judgment and dismissal of all claims against client including negligent manufacture negligent misrepresentation, fraudulent misrepresentation, breach of implied warranty, violation of the Delaware Consumer Fraud Act, and tortious interference related to the manufacture of an insulation compound.

  • Secured an affirmance by the Third Circuit following complete summary judgment victory in district court.
